With regard to the attached, DETM bids $.151 for the 10,000 Dth/D, San
Juan/Socal Needles Path, only.

AVAILABLE FIRM CAPACITY ON TRANSWESTERN





In  accordance  with Rate Schedule FTS-1 of Transwestern's FERC Gas Tariff,
the following capacity will be available on a firm basis beginning February
1, 2002:


Volume: 20,000 Dth/day


Receipt Points: San Juan, Blanco Hub (Bloomfield POI 56498)


Delivery Points: 10,000 Dth/day at SoCal Needles (POI 10487), 10,000
Dth/day at PG&E Topock (POI 56698)


Maximum Tariff Rate: $.3659/Dth reservation rate plus $.0164/Dth commodity
rate and applicable surcharges


Fuel: 4.75%


Term: February through October 2002


Contingency bids will not be accepted. Bids will be evaluated in accordance
with  the  "highest  rate" method specified in Rate Schedule FTS-1, Section
13(D)(ii), of Transwestern's FERC Gas Tariff.


Binding  Bids must be submitted in accordance with the requirements of Rate
Schedule FTS-1by 5:00 p.m. CCT on Tuesday, January 22, 2002 by facsimile at
